These Terms and Conditions and Compliance Policy govern participation in the HS Partner Program operated by ICB NET, IBC (“HS,” “Operator,” “we,” “us,” or “our”). By applying for, accessing, or participating in the HS Partner Program (“Program”), you (“Partner,” “Affiliate,” or “you”) agree to be bound by these Terms and Conditions and Compliance Policy.

1. Program Purpose

The Program allows approved Partners to promote HS and any additional websites, offers, landing pages, or brands expressly designated by HS from time to time, in exchange for commissions on qualified traffic, sales, memberships, rebills, or other approved actions as determined by HS.

Participation in the Program is a privilege, not a right. HS may approve, reject, suspend, or terminate any application or account at its sole discretion.

2. Eligibility

To participate in the Program, you represent and warrant that:

  • you are at least eighteen (18) years old, or the age of legal majority in your jurisdiction, whichever is higher;
  • you have full legal authority to enter into this agreement;
  • all information you provide to HS is true, accurate, and current;
  • your websites, domains, accounts, traffic sources, and promotional methods comply with all applicable laws, regulations, payment processor rules, platform rules, and these Terms; and
  • you will not target minors or promote HS in any unlawful, deceptive, abusive, or prohibited manner.

3. Application and Account Information

You must provide complete and accurate application and account details, including:

  • legal name or business name;
  • contact information;
  • website(s) and traffic source information;
  • payment details;
  • tax information if requested; and
  • any additional verification materials requested by HS.

You are solely responsible for keeping your account information current at all times.

You may not:

  • create multiple accounts without prior written approval from HS;
  • use false or misleading account information;
  • transfer or assign your account without prior written consent; or
  • permit another person or entity to use your account without approval.

4. Approved Promotion

You may promote only HS-approved offers, links, creatives, and materials. HS may add, remove, suspend, or modify offers, commission structures, promotional materials, and landing pages at any time.

HS may also approve additional brands, websites, or sections under the Program from time to time. If HS designates additional brands or websites, these Terms will apply to those offers as well unless otherwise stated in writing.

5. Partner Responsibilities

You are solely responsible for:

  • your websites, landing pages, domains, ad accounts, traffic sources, and content;
  • the lawfulness and truthfulness of your promotional methods;
  • compliance with all applicable advertising, privacy, spam, disclosure, and adult-content rules;
  • the security of your account login credentials;
  • the accuracy of your tax and payment information; and
  • any losses, delays, or failed payments caused by inaccurate or outdated information provided by you.

6. Bank Account and Payment Data Responsibility

The Partner is solely responsible for providing and maintaining correct, complete, and current payment information, including bank account details, payment processor details, beneficiary details, payout email addresses, tax information, and any other payout-related data.

HS Partner Program is not responsible for incorrect, incomplete, outdated, rejected, misdirected, delayed, blocked, or failed payments caused by inaccurate or invalid payment data submitted by the Partner.

If a Partner provides incorrect payment information, HS shall have no liability for any resulting loss, delay, bank fee, processor fee, transfer issue, or payment failure.

HS may require the Partner to update or re-verify payment information before any payout is made.

7. Adult Content Rules

Because the Program relates to adult-oriented websites and services, the following rules are mandatory:

  • no promotion to minors;
  • no underage references, underage themes, or any depiction or implication of minors;
  • no illegal, non-consensual, coercive, exploitative, or otherwise unlawful sexual content;
  • no deceptive use of youth-related language, styling, props, uniforms, or themes intended to imply minors;
  • all marketing must be directed only to lawful adult audiences; and
  • all persons referenced or depicted in promotions must be presented as consenting adults of legal age.

Any violation of this section is grounds for immediate termination.

8. Advertising, Disclosure, and Truthfulness

You must comply with all applicable advertising and consumer protection laws.

You may not:

  • make false, misleading, deceptive, or unsubstantiated claims;
  • publish fake reviews, fake testimonials, or fake endorsements;
  • misrepresent pricing, billing terms, trial terms, renewal terms, cancellation terms, or available content;
  • imply that you are HS, official HS support, or an official employee of HS unless expressly authorized in writing;
  • hide your commercial relationship where disclosure is required by law or platform rules.

Where legally required, you must clearly disclose your material relationship to HS, including in reviews, social posts, endorsements, comparisons, and recommendations.

9. Prohibited Traffic and Promotional Methods

The following are strictly prohibited unless HS expressly approves them in writing where applicable:

  • spam email;
  • spam messages, bulk direct messages, or unlawful SMS marketing;
  • bots, click farms, fake leads, fake signups, or fake transactions;
  • cookie stuffing;
  • forced redirects;
  • hidden iframes;
  • malware, spyware, adware, or malicious scripts;
  • pirated, hacked, scraped, or illegal content placements;
  • traffic that conceals its true source;
  • brand impersonation;
  • typo domains or confusing lookalike domains;
  • self-referrals, self-purchases, or fraudulent billing activity; and
  • any deceptive or manipulative attribution practices.

HS may treat suspicious, low-quality, non-human, unverifiable, or fraudulent traffic as invalid in its sole discretion.

10. Email, Messaging, and Direct Marketing

If you use email or direct messaging to promote HS, you are solely responsible for ensuring full legal compliance.

You must not:

  • use false or misleading sender information;
  • use deceptive subject lines;
  • send unlawful commercial email;
  • ignore unsubscribe requests; or
  • send promotional messages where consent is required and not properly obtained.

HS reserves the right to prohibit or restrict email, messaging, SMS, or similar direct marketing methods at any time. Commercial email promotions must comply with applicable anti-spam laws, including CAN-SPAM where relevant.

11. Privacy and Data Protection

If you collect, process, receive, store, or share personal data in connection with the Program, you are solely responsible for complying with all applicable privacy and data protection laws.

This includes, where applicable:

  • providing proper notices;
  • collecting lawful consent where required;
  • using personal data only for lawful purposes;
  • maintaining appropriate security safeguards;
  • handling EU personal data in compliance with GDPR requirements where applicable; and
  • avoiding unlawful collection of personal data from children.

COPPA imposes requirements on sites directed to children under 13, and GDPR governs processing of personal data of individuals in the EU.

12. 2257 / Recordkeeping Responsibility

Partner acknowledges that certain adult-content activities may trigger recordkeeping, labeling, or age-verification obligations under applicable law, including in the United States.

If Partner creates, produces, republishes, hosts, edits, manages, or controls sexually explicit promotional content or materials, Partner is solely responsible for determining whether any legal recordkeeping or compliance obligations apply to its activities, and for fully complying with those obligations.

HS does not provide legal advice regarding 2257 or similar requirements. U.S. law and regulations may impose recordkeeping obligations on producers of certain sexually explicit depictions.

13. Intellectual Property and Brand Use

HS grants you a limited, non-exclusive, revocable, non-transferable license to use approved HS Program materials solely for participation in the Program.

You may not:

  • alter HS logos, creatives, or materials without approval;
  • register domains, social handles, or usernames that are identical or confusingly similar to HS or any HS-associated brand;
  • imply official status if none exists;
  • use outdated or unapproved creatives; or
  • claim ownership of HS intellectual property.

All goodwill arising from use of HS materials belongs exclusively to HS.

14. Tracking and Attribution

HS will determine commissions, referrals, conversions, and attribution using its own systems, logs, records, tracking tools, and internal data.

HS does not guarantee that every click, referral, or transaction will be tracked correctly in all cases, including where browsers, devices, privacy settings, blockers, network issues, or user actions interfere with tracking.

HS reserves the right to determine final attribution and commission eligibility in its sole discretion, acting reasonably and based on its internal records.

Any attempt to manipulate or interfere with tracking or attribution is a material breach of these Terms.

15. Commissions

Commissions, rates, payout structures, rebill rules, and qualifying events will be set by HS and may be changed at any time.

Unless otherwise stated in writing, no commission will be due on:

  • fraudulent transactions;
  • refunded transactions;
  • reversed or disputed transactions;
  • chargebacks;
  • duplicate accounts;
  • self-purchases or related-party purchases;
  • free access;
  • test transactions; or
  • any sale or event deemed invalid by HS.

16. Reversals, Chargebacks, and Offsets

HS may withhold, reverse, deny, cancel, or offset commissions arising from:

  • fraud or suspected fraud;
  • refunds or partial refunds;
  • chargebacks;
  • payment reversals;
  • invalid traffic;
  • compliance violations;
  • duplicate memberships;
  • self-referrals; or
  • prohibited promotional methods.

HS may offset any invalid or reversed commissions against future payments.

17. Payment Terms

Payments will be made only if:

  • your account is approved and in good standing;
  • your payment details are correct and valid;
  • you meet the minimum payout threshold; and
  • HS has completed any required review, validation, fraud checks, or documentation requests.

HS may delay or withhold payment pending fraud review, compliance review, tax verification, identity verification, or correction of invalid payment details.

18. Taxes

You are solely responsible for your own taxes, filings, registrations, and reporting obligations arising from payments made under the Program.

HS may require tax forms, invoices, identification documents, or other records before making payment.

If required by law, HS may withhold taxes or other mandatory amounts.

19. Monitoring and Audit Rights

HS may monitor your websites, domains, landing pages, ad placements, creatives, traffic sources, social accounts, and promotional methods for compliance purposes.

Upon request, you must promptly provide:

  • traffic source details;
  • websites and domains used for promotion;
  • ad creatives and landing pages;
  • email templates or messaging examples;
  • identity verification documents;
  • tax forms; and
  • any other information reasonably requested by HS.

Failure to cooperate may result in suspension or termination.

20. Suspension and Termination

HS may suspend or terminate your account immediately, with or without notice, if HS believes that you have:

  • breached these Terms;
  • violated any law or regulation;
  • engaged in fraud or suspected fraud;
  • generated low-quality or invalid traffic;
  • used prohibited promotional methods;
  • exposed HS to legal, reputational, processor, or business risk; or
  • provided false or misleading account information.

Upon termination:

  • your license to use HS materials ends immediately;
  • you must remove all HS links, branding, and promotional materials promptly;
  • HS may withhold pending commissions during investigation; and
  • commissions tied to violations or invalid activity may be forfeited.

21. No Guarantee of Earnings

HS makes no guarantee regarding sales, conversions, commissions, performance, approval rates, or earnings.

Your results depend on your own traffic, methods, compliance, audience quality, and market conditions.

22. Disclaimer of Warranties

The Program, website, dashboard, tracking tools, reports, links, materials, and services are provided on an “as is” and “as available” basis.

HS disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, availability, non-infringement, and uninterrupted service.

23. Limitation of Liability

To the fullest extent permitted by law, HS shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost business, lost data, payment delays caused by Partner error, or reputational harm.

Without limiting the foregoing, HS shall not be responsible for:

  • failed payouts caused by incorrect bank or payment data submitted by the Partner;
  • bank rejection fees, intermediary bank fees, transfer losses, or processor charges resulting from Partner error;
  • losses caused by inactive, closed, blocked, frozen, or invalid bank or payout accounts provided by the Partner.

HS’s total aggregate liability under these Terms shall not exceed the total commissions actually paid to the Partner during the three (3) months preceding the event giving rise to the claim.

24. Indemnification

You agree to defend, indemnify, and hold harmless HS, ICB NET, IBC, its owners, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, losses, liabilities, damages, costs, penalties, fines, and expenses, including reasonable legal fees, arising out of or related to:

  • your participation in the Program;
  • your websites, traffic, ads, content, or promotional conduct;
  • your breach of these Terms;
  • your violation of law or third-party rights;
  • your incorrect payment or bank account data; or
  • your tax, privacy, spam, disclosure, or adult-content compliance failures.

25. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of [INSERT STATE / COUNTRY], without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Program shall be brought exclusively in the courts located in [INSERT CITY, STATE / COUNTRY], and each party consents to that jurisdiction and venue.

26. Amendments

HS may modify these Terms at any time by posting an updated version on the Program website or otherwise notifying Partners.

Continued participation in the Program after the effective date of updated Terms constitutes acceptance of the revised Terms.

27. Entire Agreement

These Terms and Conditions, the Compliance Policy below, the payout rules, and any written addenda issued by HS constitute the entire agreement between HS and the Partner regarding the Program.

Compliance Policy

HS Partner Program Compliance Policy

This Compliance Policy forms part of the HS Partner Program Terms and Conditions. Any violation may result in warnings, suspension, commission reversal, account termination, or legal action.

1. Required Conduct

  • act lawfully and honestly;
  • use only approved links and materials;
  • maintain accurate account and payment information;
  • respond promptly to HS compliance requests; and
  • keep records sufficient to verify traffic sources and promotional methods.

2. Disclosure Requirements

Where legally required, Partner must clearly disclose any material connection to HS.

Examples include:

  • “Advertisement”
  • “Sponsored”
  • “Affiliate Link”
  • “I may earn a commission if you join through this link”

Disclosures must be clear and not hidden.

3. Prohibited Claims

Partner may not make or imply:

  • false pricing claims;
  • false free-trial claims;
  • false cancellation claims;
  • false download claims;
  • false review claims;
  • false “official” status claims;
  • false earnings claims; or
  • fake urgency, fake scarcity, or fake testimonials.

4. Prohibited Placements

Partner may not place promotions:

  • on child-directed websites or services;
  • on illegal or pirated websites;
  • through malware or forced redirects;
  • on websites impersonating HS;
  • on misleading or confusingly similar domains; or
  • through unlawful spam methods.

5. Search and Brand Restrictions

Unless HS gives prior written approval, Partner may not:

  • bid on branded search terms;
  • use HS brand names deceptively in ad copy;
  • register typo domains; or
  • create pages designed to appear as official HS pages.

6. Data and Security

Partner may not:

  • unlawfully collect or share personal data;
  • ignore legally required privacy obligations;
  • expose customer or applicant data;
  • misuse payout or bank data; or
  • retain personal data longer than legally or operationally necessary.

7. Adult-Specific Red Lines

Zero tolerance for:

  • underage themes;
  • promotion to minors;
  • unlawful sexual content;
  • coercive or non-consensual content presented as real;
  • deceptive age cues; or
  • any promotion that creates legal or processor risk for HS.

8. Enforcement

HS may:

  • request changes;
  • suspend specific campaigns;
  • reverse commissions;
  • hold payments;
  • terminate the account; or
  • take legal action if needed.
